By accessing or using the Orange Panda platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you ("User" or "you") and Orange Panda ("we", "our", or "us"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Orange Panda is a 1-on-1 meeting intelligence platform for managers. It enables users to log structured conversations with direct reports, track team health using the ARC framework (Drive & Direction, Connection, Growth & Mastery), manage commitments, and generate AI-assisted meeting insights. The Service is offered on Free and Pro subscription tiers.
You must be at least 18 years old and have the legal capacity to enter into a contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to provide accurate and complete information when creating your account and to update it as necessary. We reserve the right to suspend or terminate accounts that violate these Terms.
Orange Panda offers a Free plan and a Pro plan. Pro plan features include AI-assisted recording, transcript generation, advanced analytics, and priority support.
Billing: Pro subscriptions are billed monthly or annually in advance. All payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
Cancellation: You may cancel your Pro subscription at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods, except where required by applicable law.
Price changes: We may change subscription prices with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price.
You agree not to use the Service to:
Recording consent: You are solely responsible for obtaining any legally required consent from meeting participants before using the AI recording feature. Laws on recording consent vary by jurisdiction. Orange Panda provides a consent gate in the product but cannot guarantee legal compliance in your specific location. Consult legal counsel if you are unsure.
You retain ownership of all content you create in the Service, including meeting records, notes, templates, and team member data ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely to provide the Service to you.
We do not claim ownership of Your Content. We do not use Your Content to train AI models. We do not sell Your Content to third parties.
You are responsible for ensuring that Your Content does not violate the rights of third parties, including the privacy rights of employees whose data you enter into the platform.
The Service uses artificial intelligence to generate health scores, meeting summaries, commitment suggestions, and template recommendations. AI-generated content is provided as a tool to assist your judgment, not to replace it.
You are responsible for reviewing all AI-generated content before acting on it. Do not make employment decisions, performance reviews, or disciplinary actions based solely on AI-generated scores or summaries without independent human review and judgment.
We make no warranty that AI-generated content is accurate, complete, or appropriate for any specific purpose.
The Service, including its design, software, trademarks, and content (excluding Your Content), is owned by Orange Panda and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Orange Panda is a management support tool. It does not provide legal, HR, or employment advice. Nothing in the Service constitutes professional advice of any kind.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORANGE PANDA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD IF YOU HAVE NOT MADE ANY PAYMENTS.
You agree to indemnify and hold harmless Orange Panda and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of a third party.
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion.
You may terminate your account at any time by contacting us at [email protected]. Upon termination, your data will be deleted in accordance with our Privacy Policy.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
We may update these Terms from time to time. When we do, we will update the "Last updated" date and, for material changes, notify registered users by email at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
